By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

4. Accounts & Registration

You may not share your account credentials with others or allow others to access your account. Each account is for a single user only. We reserve the right to disable any account if we reasonably believe you have violated these Terms.

Newsletter: By subscribing to our newsletter, you consent to receive periodic emails from us containing educational content, product updates, and promotional materials. Free Downloads: Free resources are provided for your personal and business use on your own farming operation. You may not redistribute, resell, or share these resources with others outside your organization without our written permission.

6. Paid Services & Billing

Certain Services require payment. By purchasing paid Services, you agree to the following:

Pricing & Payment: All prices are displayed in U.S. dollars unless otherwise stated. You agree to pay all fees and applicable taxes associated with your purchase. We use third-party payment processors to handle transactions, and your payment is subject to their terms and privacy policies.

Subscriptions: If you purchase a subscription, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected) until you cancel. Subscription fees are billed in advance of each billing period.

Price Changes: We may change our prices at any time. For active subscriptions, price changes will take effect at the start of your next billing cycle, and we will notify you at least 30 days in advance.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access until then. We do not provide prorated refunds for partial billing periods.

30-Day Satisfaction Guarantee

We want you to be completely satisfied with your purchase. If you're not happy with any paid Service, contact us within 30 days of your initial purchase for a full refund. Refunds are processed to the original payment method within 5-10 business days. This guarantee applies to initial purchases only, not subscription renewals.

7. Content License & Usage

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and any content you have purchased or that is included with your subscription.

Permitted Uses:

  • View, download, and use content for your personal education and business operations
  • Use templates and spreadsheets in your own farming or ranching operation
  • Apply techniques and strategies learned from our courses to your business
  • Share insights with employees within your organization

Prohibited Uses:

  • Reproduce, copy, or redistribute our content to others outside your organization
  • Sell, resell, license, or commercially exploit our content
  • Create derivative works or competing products based on our content
  • Share your account access or login credentials with others
  • Use automated tools to download, scrape, or copy our content
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

8. Your Content & Conduct

You may have the opportunity to submit content through our Services, such as comments, questions, or community posts ("User Content"). You retain ownership of your User Content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, display, and distribute your User Content in connection with operating and improving our Services.

You agree not to submit User Content or engage in conduct that:

  • Is unlawful, fraudulent, deceptive, or harmful
  • Is defamatory, obscene, hateful, threatening, or harassing

The Services and all content, features, and functionality—including but not limited to text, graphics, logos, icons, images, audio, video, courses, templates, software, and the overall design and arrangement thereof—are owned by Nerd Out Inc., its licensors, or other content providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Fullstack Ag name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Nerd Out Inc. You may not use these marks without our prior written permission.

Copyright Complaints: If you believe that any content on our Services infringes your copyright, please notify us at legal@fullstackag.com with the following information: (1) a description of the copyrighted work; (2) the location of the allegedly infringing material; (3) your contact information; (4) a statement that you have a good faith belief the use is not authorized; and (5) a statement, under penalty of perjury, that your notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Our Services may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that we are not responsible or liable for any damage or loss caused by your use of any third-party services.

We use third-party service providers to help operate our Services, including payment processors, email service providers, and hosting providers. Your use of our Services may be subject to the terms and policies of these providers.

  • Any errors in the Services will be corrected
  • The Services will meet your specific requirements or expectations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NERD OUT INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, CROPS, LIVESTOCK, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nerd Out Inc. and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Services
  • Your User Content
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable law or regulation

14. Termination

By You: You may terminate your account at any time by contacting us at legal@fullstackag.com or through your account settings. If you have an active paid subscription, termination will take effect at the end of your current billing period.

By Us: We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services will immediately cease.

Effect of Termination: Upon termination, Sections 7 (Content License—as to prohibitions), 8 (Your Content—as to license grant), 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Disputes & Arbitration), and 16 (General Provisions) shall survive and continue in effect.

15. Disputes & Arbitration

Governing Law: These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of North Dakota, without giving effect to any conflict of law principles.

Informal Resolution: Before initiating any formal dispute resolution, you agree to first contact us at legal@fullstackag.com and attempt to resolve the dispute informally. We will try to resolve any disputes within 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in Fargo, North Dakota, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AND NERD OUT INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Nerd Out Inc. regarding the Services and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without your consent.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, strikes, or government actions.

No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Nerd Out Inc.
